OVERVIEW
Welcome to UltraAura Gems LLC.
The terms “UltraAura,” “UltraAura Gems,” “we,” “us,” and “our” refer to UltraAura Gems LLC, a Michigan limited liability company.
UltraAura operates this website and online store, including the information, content, features, tools, products, custom-design services, private purchase pages, diamond and gemstone sourcing services, and other services made available through the website (collectively, the “Services”).
UltraAura offers curated diamonds and gemstones, fine jewelry, custom-designed jewelry, personalized and engraved pieces, and related services. Certain products may be available publicly through our website, while others may be offered privately to individual customers through a direct product link, consultation, social-media community, private sales group, or other personalized purchasing experience.
Our online store is powered by Shopify, which provides the e-commerce technology that allows us to offer products and Services to you.
These Terms of Service, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and any product-specific or custom-order terms provided to you, describe your rights and responsibilities when using our Services.
Please read these Terms carefully. They contain important information concerning purchases, custom and personalized products, limitations of liability, intellectual property, and other legal rights and obligations.
By visiting, accessing, interacting with, or purchasing through our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not use the Services.
Nothing in these Terms is intended to limit any consumer right or remedy that cannot legally be waived under applicable law.
SECTION 1 — ACCESS AND ACCOUNT INFORMATION
By using the Services, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you have the legal capacity necessary to enter into a binding agreement.
When browsing our website, submitting an inquiry, requesting a custom design, or purchasing a product, you may be asked to provide information including your name, email address, telephone number, billing information, shipping information, ring size, customization preferences, engraving instructions, payment information, or other information reasonably necessary to provide the Services.
You represent that all information you provide is accurate, current, and complete and that you have the right to provide that information.
If customer accounts are offered, you are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.
SECTION 2 — OUR PRODUCTS, DIAMONDS AND GEMSTONES
UltraAura offers fine jewelry, diamonds, gemstones, custom-designed products, and related services.
We make reasonable efforts to accurately describe and visually represent each product offered through the Services. Because jewelry, diamonds, and gemstones are highly visual products, however, their appearance may vary depending upon lighting conditions, photography, magnification, camera equipment, computer or mobile-device displays, screen settings, and the environment in which the item is viewed.
Diamonds and gemstones may also exhibit individual characteristics that are inherent to the stone.
Images may be enlarged or magnified so customers can better view details. Accordingly, photographs and videos should not necessarily be interpreted as representations of actual physical size.
Where measurements, carat weights, dimensions, metal weights, or similar specifications are provided, minor variations may occur within ordinary jewelry-manufacturing tolerances unless the specification is expressly represented as exact.
Natural and colored gemstones may exhibit variations in color, tone, saturation, clarity, inclusions, texture, pattern, transparency, and other natural characteristics. Such characteristics do not necessarily constitute defects.
Diamond and Gemstone Selection
UltraAura seeks to curate diamonds and gemstones for beauty, brilliance, visual performance, proportions, and overall presence rather than relying exclusively upon a grading report or any single technical measurement.
Any statements concerning brilliance, sparkle, beauty, fire, light performance, appearance, or similar visual qualities may involve professional or aesthetic judgment and should not be interpreted as a guarantee that every individual will perceive a stone identically.
Laboratory Grading Reports
Certain diamonds or gemstones may be accompanied by a grading report or certificate issued by an independent gemological laboratory such as IGI, GIA, or another organization identified in the applicable product listing.
Such reports are prepared by independent third parties. UltraAura does not control the grading standards or conclusions of independent laboratories.
Gemological grading involves professional judgment, and different laboratories or graders may reach different conclusions concerning the same stone.
When a grading report is included with a purchase, the report itself—not a summary appearing on our website—should be consulted for the laboratory's complete findings.
Unless expressly stated otherwise, a grading report is not an appraisal and does not establish the retail, resale, replacement, or investment value of a gemstone.
SECTION 3 — PRIVATE DIAMOND ROOM AND DIRECT PURCHASE PAGES
Some UltraAura products are offered through private purchasing experiences rather than through our publicly browsable online store.
For example, a customer may select or “claim” a loose diamond or gemstone through an UltraAura private social-media group, Diamond Room, live presentation, direct conversation, email, message, consultation, or other private offering.
UltraAura may then create or provide a direct product page containing the specific stone or item selected by that customer.
These pages are intended to provide the customer with the specifications, photographs, price, and other relevant information necessary to review and securely complete the purchase through Shopify checkout.
Unless UltraAura expressly confirms otherwise in writing, expressing interest in, commenting upon, requesting, selecting, or “claiming” a product does not itself complete the sale. The purchase is completed only when the applicable order and payment are accepted by UltraAura.
A private or unlisted page should not be interpreted as a guarantee that an item will remain available indefinitely unless UltraAura has expressly agreed to reserve it for a specified period.
A direct product-page URL may be accessible to anyone who possesses the link. Customers should use discretion when forwarding private purchase links.
SECTION 4 — ORDERS AND ORDER ACCEPTANCE
When you submit an order, you are making an offer to purchase the products or Services identified in that order.
Receipt of an automated Shopify confirmation does not necessarily constitute final acceptance of an order.
UltraAura reserves the right to accept, decline, place on hold, or cancel an order where reasonably necessary, including because of:
suspected fraud or unauthorized payment; pricing or listing errors; product unavailability; inability to verify payment or shipping information; legal or regulatory restrictions; or circumstances that reasonably prevent UltraAura from fulfilling the order as represented.
If payment has been collected for an order that UltraAura subsequently cannot accept or fulfill, the applicable amount will be refunded.
For high-value transactions, we may request reasonable additional information to verify the purchaser, payment method, or shipping destination before fulfillment.
Please review all order details carefully before submitting your purchase.
Your eligibility for cancellation, return, exchange, or refund is governed by our Return & Refund Policy, together with any additional terms disclosed for a specific custom order or product.
SECTION 5 — CUSTOM, MADE-TO-ORDER AND PERSONALIZED JEWELRY
UltraAura offers custom-designed, made-to-order, specially sourced, resized, engraved, personalized, and otherwise customer-specific jewelry.
A custom order may involve services such as diamond or gemstone sourcing, jewelry design, CAD or rendering development, setting selection, manufacturing, metal selection, engraving, personalization, ring sizing, stone setting, or other work performed specifically for the customer.
Because these products are created or sourced for an individual customer, they are treated differently from ordinary ready-to-ship merchandise.
Once sourcing, purchasing, fabrication, sizing, engraving, personalization, or other custom work has begun, cancellation or return due solely to a change of mind may no longer be available.

Nothing in this section eliminates your rights if a custom product arrives damaged, contains a workmanship issue for which UltraAura is responsible, is incorrect, or materially differs from the specifications agreed upon for the order.
SECTION 6 — CUSTOM DESIGN APPROVALS
Custom jewelry is collaborative by nature.
During the design process, UltraAura may provide sketches, photographs, inspiration images, measurements, computer-aided design files, renderings, stone options, setting examples, written specifications, or other materials to help communicate the proposed design.
Digital renderings and CAD images are design tools. They may appear larger than life, may display surface details differently than a finished polished piece, and may not perfectly reproduce the appearance, reflections, color, scale, or visual characteristics of the completed jewelry.
When customer approval is requested, you are responsible for reviewing the applicable design details carefully, including, where relevant:

Other specifications identified for approval
Once a design or specification has been approved and manufacturing has begun, requested changes may result in additional costs, delays, or—in some cases—may no longer be possible.
If UltraAura identifies a technical or structural issue that makes an approved design impractical or unsuitable to manufacture as originally envisioned, we may recommend reasonable design modifications. Material changes will be discussed with the customer when appropriate before proceeding.
SECTION 7 — ENGRAVING AND PERSONALIZATION
Customers are responsible for carefully reviewing all engraving, spelling, dates, initials, numbers, symbols, capitalization, punctuation, and personalization instructions submitted to UltraAura.
UltraAura will make reasonable efforts to reproduce approved personalization accurately.
Because engraving and personalization permanently alter jewelry, personalized products are generally not eligible for ordinary change-of-mind returns as described in our Return & Refund Policy.
If UltraAura makes an error in reproducing the engraving or personalization that the customer approved, please contact us so that we can evaluate and correct the issue.
Certain words, symbols, fonts, designs, locations, or character counts may not be technically appropriate for a particular piece. We may recommend modifications where necessary to preserve readability, durability, aesthetics, or structural integrity.
SECTION 8 — RING SIZING
Customers are responsible for providing the requested ring size unless sizing has been determined through another arrangement expressly agreed upon with UltraAura.
Ring fit can be affected by factors including band width, design, finger shape, temperature, time of day, and individual preference.
Not every ring can be resized, and certain designs—including some eternity bands, intricate settings, or pieces with stones extending substantially around the band—may have limited resizing capability.
If sizing or resizing is performed specifically for a customer, the piece may be considered customized for purposes of our Return & Refund Policy.
SECTION 9 — PRICING, QUOTES AND BILLING
Prices are shown in U.S. dollars unless otherwise stated.
Prices, product availability, promotions, and discounts may change without notice until an order is accepted.
Unless expressly stated otherwise, listed prices do not include applicable taxes, shipping, expedited services, customs duties, import charges, or other charges that may apply to an order.
Custom-design and specially sourced products may be individually quoted.
Because diamond, gemstone, precious-metal, manufacturing, and supplier pricing can change, a quote is valid only for the period stated with that quote. If no expiration period is stated, availability and pricing remain subject to confirmation until the order is accepted and payment is received.
You agree to provide current, complete, and accurate billing, payment, and account information.
You represent that you are authorized to use the payment method submitted and authorize the applicable charges associated with your order.
If an obvious pricing or product-information error occurs, UltraAura reserves the right to correct the error or cancel the affected order. If an order is cancelled after payment because of such an error, the amount collected for the cancelled item will be refunded.
SECTION 10 — SOURCED STONES AND AVAILABILITY
Some diamonds and gemstones may be sourced specifically in response to a customer's request.
Availability of third-party inventory can change quickly. A stone discussed, quoted, shown, or recommended during the sourcing process may become unavailable before an order is finalized.
UltraAura cannot guarantee availability until the applicable stone has been secured or the order has otherwise been confirmed.
If a specially sourced stone becomes unavailable after payment but before UltraAura is able to secure it, we will contact you to discuss comparable alternatives. You will not be required to accept a substitute stone that you did not approve.
If no acceptable replacement is selected, amounts paid specifically for the unavailable stone will be refunded as applicable.
SECTION 11 — SHIPPING, DELIVERY AND FULFILLMENT
Fulfillment timing varies by product.
Ready-to-ship loose diamonds offered through certain private UltraAura purchase pages may state that they will ship within 3–5 business days. When a specific fulfillment period is displayed on a product page or otherwise communicated for an order, that stated period applies to that purchase.
Custom, made-to-order, specially sourced, engraved, resized, or personalized pieces may require additional production time. Estimated timelines for those items may be provided on the product page, during the custom-design process, or in direct communication with the customer.
Production estimates and carrier transit estimates are different. A stated production or fulfillment period describes when we expect the order to leave UltraAura and does not necessarily represent the date on which a carrier will deliver it.
If we learn that we cannot ship an order within a shipping period we have promised, we will communicate with the customer regarding the delay and provide any cancellation or refund option required by applicable law.
High-value shipments may require tracking, insurance, and/or an adult or other signature upon delivery at UltraAura's discretion.
Customers are responsible for providing a complete and accurate shipping address.
Once an order has shipped, requested address changes, package forwarding, delivery holds, alternate delivery instructions, signature waivers, or other changes initiated by the customer or recipient may affect shipping coverage and our ability to assist with a loss or delivery dispute.
Risk of loss does not pass to the customer merely because UltraAura has handed a shipment to the carrier. However, once the carrier confirms delivery to the shipping destination provided or otherwise properly completes delivery according to authorized customer instructions, responsibility for securing the package generally passes to the customer, subject to applicable law and the facts of the particular shipment.
If a package is lost, damaged in transit, or shows an unexplained delivery issue, please contact UltraAura promptly so that we can investigate with the carrier and, where applicable, the shipping insurer.
International customers are responsible for customs duties, taxes, import charges, brokerage fees, or similar charges imposed by their destination country unless UltraAura expressly states otherwise.
SECTION 12 — RETURNS, REFUNDS AND EXCHANGES
Returns, refunds, exchanges, custom-order cancellations, non-returnable items, loose gemstone returns, personalized products, and related matters are governed by our Return & Refund Policy.
Because many UltraAura products are unique, individually sourced, custom made, engraved, resized, personalized, or otherwise altered specifically for a customer, not every product qualifies for a standard return.
We encourage customers to review the Return & Refund Policy and contact us with questions before purchasing a significant or customized piece.
Nothing in these Terms or our Return & Refund Policy limits any right or remedy that cannot legally be waived under applicable consumer-protection law.
SECTION 13 — JEWELRY CARE, WEAR AND REPAIRS
Fine jewelry requires appropriate care.
Diamonds are highly durable but are not indestructible. Gemstones, precious metals, prongs, chains, clasps, settings, and other components can scratch, bend, wear, loosen, chip, break, or otherwise sustain damage through use, impact, improper storage, chemicals, environmental exposure, or ordinary wear over time.
Customers are responsible for reasonable care of jewelry after delivery.
Normal wear, accidental damage, loss, theft, misuse, damage caused by third-party repairs or alterations, and deterioration resulting from improper care are not necessarily considered manufacturing defects.
Any specific warranty or repair coverage offered with a product will be governed by the terms expressly provided for that product. These Terms do not create a lifetime warranty, free repair program, or free resizing obligation unless UltraAura expressly states otherwise in writing.
SECTION 14 — INFORMATIONAL AND INSPIRATIONAL CONTENT
UltraAura's brand is centered upon the idea that jewelry can carry personal meaning and serve as a reminder of an intention, identity, memory, value, promise, aspiration, or other personally meaningful idea.
Our use of words such as intention, aura, energy, embody, meaning, reminder, power, possibility, transformation, or similar language is expressive, inspirational, symbolic, and brand-oriented.
Such content is not intended as medical, psychological, therapeutic, financial, religious, or other professional advice, and no particular personal outcome is guaranteed by wearing, purchasing, engraving, or otherwise using an UltraAura product.
The meaning a customer gives a piece is personal to that customer.
SECTION 15 — VALUE, APPRAISALS AND RESALE
Unless expressly identified as an appraisal, product pricing, comparison information, sourcing discussions, retail prices, grading reports, or other information provided through the Services should not be interpreted as an appraisal or guarantee of replacement value, resale value, future value, or investment performance.
Diamonds, gemstones, jewelry, and precious metals may fluctuate in market value.
UltraAura does not represent that any jewelry, diamond, or gemstone purchased through the Services is an investment or will retain, increase, or achieve any particular resale value.
Customers seeking insurance coverage or a formal appraisal should obtain appropriate independent professional advice when necessary.
SECTION 16 — INTELLECTUAL PROPERTY
The Services and their content—including, as applicable, trademarks, logos, brand names, product names, jewelry designs, photographs, graphics, text, copy, illustrations, video, audio, layouts, visual concepts, design elements, and the selection and arrangement of such content—are owned by UltraAura Gems LLC, its licensors, or other respective rights holders and are protected by applicable intellectual-property laws.
These Terms permit you to use the Services for personal, non-commercial purposes only.
Except where permitted by law, you may not reproduce, distribute, modify, republish, sell, exploit, publicly display, download, scrape, copy, or create derivative works from protected UltraAura content without prior written permission.
UltraAura, UltraAura Gems, associated logos, product names, slogans, and other brand identifiers may constitute trademarks or other proprietary rights of UltraAura Gems LLC.
Nothing in these Terms grants you a license to use UltraAura intellectual property except as expressly provided.
Shopify's names, logos, trademarks, and other intellectual property remain the property of Shopify or their respective owners.
SECTION 17 — CUSTOMER-SUBMITTED DESIGNS AND MATERIALS
If you provide UltraAura with photographs, drawings, artwork, text, engraving instructions, reference images, design ideas, or other materials for purposes of a custom order, you represent that you have the right to provide and use those materials for the requested purpose.
Submitting a third-party jewelry photograph as inspiration does not guarantee that UltraAura will reproduce the design exactly.
UltraAura may decline to reproduce a design where doing so could infringe another party's intellectual-property rights or where we otherwise determine that an exact reproduction is inappropriate.
You grant UltraAura permission to use materials you submit to the extent reasonably necessary to evaluate, design, manufacture, communicate about, and fulfill your requested product or service.
SECTION 18 — OPTIONAL TOOLS
We may provide access to tools, functionality, payment options, integrations, applications, or services supplied by third parties.
Unless otherwise expressly stated, such third-party tools are provided subject to the applicable third party's terms and policies.
We do not control every aspect of third-party tools and are not responsible for third-party services beyond the extent required by applicable law.
Use of optional third-party functionality is at your discretion.
We may introduce new features, tools, or resources to the Services in the future. Unless otherwise stated, those features will also be governed by these Terms.
SECTION 19 — THIRD-PARTY LINKS AND SERVICES
The Services may contain links to or functionality provided by third parties, including payment providers, shipping carriers, social-media platforms, gemological laboratories, financing providers, or other services.
UltraAura is not responsible for the content, accuracy, availability, privacy practices, or independent conduct of third-party websites and services.
Your dealings with a third party may also be governed by that third party's own terms and policies.
Nothing in this section limits UltraAura's responsibility for obligations that applicable law places directly upon UltraAura as the seller.
SECTION 20 — RELATIONSHIP WITH SHOPIFY
UltraAura Gems LLC is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make in our Store are made directly with UltraAura Gems LLC.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and UltraAura Gems LLC, including any injury, damage, or loss resulting from purchased products and services.
You hereby expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with UltraAura Gems LLC to the extent permitted by applicable law.
SECTION 21 — PRIVACY
Personal information collected through the Services is governed by our Privacy Policy.
Because our store is hosted by Shopify, Shopify processes certain information relating to your access to and use of the Services in order to provide its commerce platform and related functionality.
Certain information may also be shared with payment processors, shipping providers, technology providers, or other service providers when reasonably necessary to process orders, fulfill purchases, operate the website, prevent fraud, or otherwise provide the Services.

Shopify's applicable privacy information can be found through Shopify's own privacy resources.
SECTION 22 — REVIEWS, FEEDBACK AND SUBMISSIONS
If you voluntarily submit a review, testimonial, comment, suggestion, photograph, feedback, or other content to UltraAura for publication or promotional use, you represent that you have the right to provide that material.
Unless otherwise agreed in writing, you grant UltraAura a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, adapt, and distribute submitted content in connection with operating and promoting UltraAura and its Services.
We will not intentionally represent your words as saying something materially different from what you submitted.
You may not submit content that violates applicable law, infringes another person's intellectual-property or privacy rights, contains malicious software, or is knowingly false or misleading.
UltraAura may moderate, decline to publish, or remove submitted content where reasonably appropriate.
SECTION 23 — ERRORS, INACCURACIES AND OMISSIONS
Occasionally, information appearing through the Services may contain typographical errors, inaccuracies, omissions, or outdated information relating to product descriptions, gemstone specifications, pricing, availability, promotions, shipping charges, timelines, images, or other information.
We reserve the right to correct errors, update information, or cancel an affected order when reasonably necessary.
If an error materially affects a product you have already purchased, we will contact you as appropriate and provide any remedy required by applicable law.
UltraAura will not knowingly substitute a materially different diamond, gemstone, or custom product for the one you purchased without your approval.
SECTION 24 — PROHIBITED USES
You may use the Services only for lawful purposes.
You may not use the Services to violate applicable law; commit fraud; submit unauthorized payment information; infringe intellectual-property rights; harass or harm another person; transmit malicious software; collect personal information unlawfully; impersonate another person or entity; interfere with website security; circumvent access restrictions; scrape or commercially exploit protected content without authorization; or otherwise use the Services in a manner that harms UltraAura, Shopify, other customers, or third parties.
We may restrict or terminate access where we reasonably believe the Services are being abused or used unlawfully.
SECTION 25 — AUTOMATED AGENTS
Any automated or semi-automated software, service, bot, artificial-intelligence agent, scraper, or other automated system accessing or interacting with the Services must comply with applicable technical restrictions, authorization requirements, and law.
Automated systems may not circumvent CAPTCHAs, security mechanisms, access controls, robot exclusions, rate limits, or other measures designed to control automated access.
We reserve the right to restrict automated access to the Services.
SECTION 26 — TERMINATION
We may suspend or terminate access to some or all of the Services where reasonably appropriate, including because of unlawful use, fraud, misuse, violation of these Terms, interference with the Services, or other conduct that materially threatens UltraAura, Shopify, customers, or third parties.
Termination of website access does not eliminate payment obligations or other liabilities arising before termination.
Provisions that by their nature should survive termination—including those concerning intellectual property, limitations of liability, indemnification, governing law, and completed transactions—will continue to apply.
SECTION 27 — DISCLAIMER OF WARRANTIES
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis except for obligations or express representations specifically undertaken by UltraAura.
We do not guarantee that the website will always be uninterrupted, secure, error-free, or available.
Website information of a general or educational nature is provided for informational purposes and should not substitute for appropriate professional advice.
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED OR EXPRESS WRITTEN WARRANTIES PROVIDED BY ULTRAAURA, WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Nothing in this section limits UltraAura's responsibility to deliver merchandise that materially conforms to the applicable order or any rights that cannot legally be waived.
SECTION 28 — LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ULTRAAURA GEMS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THEM, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR SIMILAR ECONOMIC LOSSES, EVEN IF ADVISED THAT SUCH DAMAGES MAY BE POSSIBLE.
THIS LIMITATION DOES NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE EXCLUDED OR LIMITED.
Nothing in these Terms is intended to eliminate liability for UltraAura's failure to provide remedies required by applicable consumer law.
SECTION 29 — INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless UltraAura Gems LLC and its members, managers, employees, agents, contractors, licensors, service providers, and affiliates from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights.
This obligation does not require you to indemnify UltraAura for liabilities caused solely by UltraAura's own conduct where such an obligation would be prohibited by law.
SECTION 30 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and, where necessary, severed from these Terms.
The remaining provisions will remain in effect.
SECTION 31 — WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce a right under these Terms does not constitute a waiver of that right.
These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, applicable product descriptions, and any specific written custom-order terms constitute the agreement governing use of the Services and applicable purchases.
For a custom or special order, specific written terms agreed upon for that order may supplement these Terms. If a specific written order term directly conflicts with a general provision of these Terms, the more specific order term will control with respect to that purchase, except where applicable law requires otherwise.
SECTION 32 — ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent where such restriction is permitted by law.
UltraAura may assign these Terms in connection with a merger, acquisition, restructuring, sale of substantially all relevant assets, or other lawful business transfer.
SECTION 33 — GOVERNING LAW
These Terms and any transaction with UltraAura Gems LLC will be governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law principles, except to the extent that the law of another jurisdiction must apply and cannot legally be waived.
To the extent legally permitted, disputes concerning these Terms or the Services will be brought in a court of competent jurisdiction located in the State of Michigan.
Nothing in this provision deprives a consumer of a mandatory right or forum that applicable law does not permit the consumer to waive.

Changes will not retroactively alter the material purchase terms of an already completed transaction except where required by law or agreed upon by the parties.
